Terms of Service

1. Agreement
These Terms of Service ("Terms") govern the freight and logistics services provided by Skylink Logistics ABN [Your ABN] ("Company", "we", "us", or "our") to business customers ("Customer", "you", or "your") across Australia.
By engaging our services, requesting a quote, or entering into a service agreement with us, you agree to be bound by these Terms and our Privacy Policy. These Terms apply to all freight transport, logistics support, and driver supply services.
2. Services
Skylink Logistics provides the following B2B services:
- Freight Transport: Interstate and intrastate freight delivery services
- Driver Supply: Experienced commercial vehicle drivers for short-term and long-term assignments
- Logistics Support: Transport coordination, fleet optimisation, and supply chain consultation
- Specialised Transport: Handling of specific cargo types as mutually agreed
Service details, rates, and delivery schedules are confirmed through individual service agreements or booking confirmations.
3. Quotes and Booking
- Quotes: All quotes are valid for 30 days unless otherwise specified and are subject to cargo verification
- Booking Confirmation: Services are confirmed only upon written acceptance and any required deposit
- Cargo Requirements: You must provide accurate cargo details including weight, dimensions, special handling requirements, and hazardous materials classification
- Pickup/Delivery Access: You are responsible for ensuring adequate vehicle access at pickup and delivery locations
4. Customer Obligations
- Cargo Preparation: Properly package, label, and prepare cargo for transport
- Documentation: Provide all necessary shipping documentation, permits, and customs paperwork
- Availability: Be available during agreed pickup and delivery windows
- Hazardous Materials: Declare any dangerous goods in accordance with Australian Dangerous Goods Code
- Payment: Pay all fees according to agreed payment terms
- Loading/Unloading: Assist with loading and unloading unless otherwise agreed
5. Payment Terms
- Payment Terms: Standard payment terms are Net 30 days from invoice date unless otherwise agreed
- Late Payment: Overdue accounts may incur interest charges at 1.5% per month
- Disputed Charges: Payment disputes must be raised within 14 days of invoice date
- Additional Costs: Detention fees, additional services, and surcharges will be invoiced separately
- GST: All prices are exclusive of GST unless otherwise stated
6. Delivery and Performance
- Delivery Times: Delivery schedules are estimates only and not guaranteed unless expressly agreed in writing
- Delays: We are not liable for delays due to weather, traffic, mechanical breakdown, or other circumstances beyond our control
- Delivery Confirmation: Delivery is complete upon receipt signature or alternative agreed proof of delivery
- Failed Deliveries: Additional charges apply for redelivery attempts due to customer unavailability
7. Liability and Insurance
Liability Limitation: Our liability for loss or damage is limited to the lesser of:
- The actual value of the goods (replacement cost less depreciation)
- $100,000 per consignment
- $20 per kilogram of affected cargo
Excluded Damages: We are not liable for:
- Indirect, consequential, or economic losses
- Loss of profits, revenue, or business opportunities
- Damage due to inadequate packaging or undeclared cargo characteristics
- Perishable goods unless specific cold chain services are arranged
Insurance: We maintain comprehensive transport and public liability insurance. Customers requiring higher coverage should arrange additional cargo insurance.
8. Claims and Disputes
- Damage Claims: Must be reported within 3 business days of delivery with photographic evidence
- Loss Claims: Must be reported within 7 business days of scheduled delivery date
- Claim Processing: We will investigate and respond to claims within 30 business days
- Dispute Resolution: Disputes will be resolved through good faith negotiation, mediation, or Australian Commercial Disputes Centre arbitration
9. Cancellation and Modification
- Customer Cancellation: Bookings cancelled more than 24 hours before pickup are not charged
- Late Cancellation: Cancellations within 24 hours may incur a 50% service charge
- No-Show: Full charges apply if cargo is not available at agreed pickup time
- Service Modifications: Changes to delivery address, timing, or cargo details may incur additional charges
10. Force Majeure
We are not liable for delays or non-performance due to circumstances beyond our reasonable control, including but not limited to: severe weather, natural disasters, industrial action, road closures, mechanical breakdown, fuel shortages, or government restrictions.
11. Governing Law
These Terms are governed by Australian law and subject to the jurisdiction of Australian courts. Our services are subject to:
- Heavy Vehicle National Law (HVNL)
- Australian Consumer Law
- Competition and Consumer Act 2010
- Work Health and Safety legislation
12. Privacy and Confidentiality
We handle your personal and business information in accordance with our Privacy Policy and the Privacy Act 1988. We maintain confidentiality of your business information and will not disclose it to third parties except as necessary to perform our services or as required by law.
